1. Acceptance of Terms
By installing or using Content Vault (the “App”), you (“Merchant”) agree to be bound by these Terms of Service. These terms form a legal agreement between you and Content Vault LLC (“we,” “us,” or “our”). If you do not agree with any part of these terms, you must uninstall the App and discontinue use immediately. We reserve the right to modify these terms at any time, with notice provided via email or in-app notification. Continued use after updates indicates acceptance of the revised terms.
2. Service Description
Content Vault is a Shopify app that allows merchants to sell and manage subscriptions for digital products, such as PDFs, videos, images, or audio files. Merchants can choose between instant-access (vault-style) subscriptions or scheduled content drops (drip subscriptions). The App helps automate digital delivery and manage download limits, access rules, and customer entitlements. However, ultimate control and setup remain the merchant’s responsibility.
3. Disclaimer of Warranties
Content Vault is provided “as is” and “as available.” We make no guarantees regarding the availability, performance, or results of the App. Merchants are responsible for testing all features, ensuring compatibility with their store, and confirming proper delivery of digital products. We do not guarantee:
- Increased revenue, engagement, or subscription sales
- Compatibility with all third-party apps or Shopify themes
- Continuous uptime or bug-free performance
4. Sales and Delivery Responsibility
While Content Vault provides tools to manage digital subscriptions, merchants are fully responsible for:
- Ensuring subscription pricing and terms are accurate
- Uploading correct and legal digital content
- Verifying content access and delivery flows
- Managing customer communication, refunds, and support
We are not liable for failed file delivery, incorrect pricing, or customer dissatisfaction resulting from misconfiguration.
5. Limitation of Liability
To the extent permitted by law, Content Vault LLC and its affiliates shall not be liable for any direct or indirect damages resulting from the use or inability to use the App, including but not limited to loss of revenue, customer issues, data loss, or reputational harm. In any case, our total liability shall not exceed the total fees paid by you in the six (6) months prior to the event giving rise to the claim.
6. Indemnification
You agree to indemnify and hold harmless Content Vault LLC, its affiliates, and personnel from any claims, losses, damages, or expenses (including legal fees) arising from:
- Your use or misuse of the App
- Customer claims regarding failed deliveries or unauthorized charges
- Any violation of applicable laws or third-party rights
7. Subscription Fees and Billing
Merchants are charged according to the selected plan via the Shopify Billing API. If payment fails, access to the App may be suspended. Pricing and plans may change with prior notice. Free trials, when available, automatically convert to paid plans unless canceled before the trial ends. Refunds are granted at our sole discretion in cases of technical malfunction.
8. Termination and Suspension
We reserve the right to suspend or terminate your access to the App for any violation of these Terms or misuse of the platform. Termination due to non-payment may occur without notice. Merchants are responsible for any outstanding balances at the time of termination.
9. User Responsibilities
You are responsible for:
- Ensuring your digital products comply with all applicable laws, including copyright, consumer protection, and privacy regulations
- Uploading only content you have the right to distribute
- Accurately describing your subscription offerings
- Setting download limits and access rules that match your promises to customers
Content Vault is not responsible for monitoring your store’s legal compliance.
10. Intellectual Property
All software, branding, code, and documentation related to Content Vault are the intellectual property of Content Vault LLC. You are granted a limited, revocable license to use the App solely for your Shopify store. Any unauthorized reproduction or reverse engineering is prohibited.
11. Data Collection and Privacy
We may collect data related to your store’s usage of the App to improve performance, provide analytics, and support feature development. This includes data such as download counts, subscription plan usage, customer email addresses, and access logs. All data is handled in accordance with our Privacy Policy. You are responsible for informing your customers and obtaining any required consent under applicable privacy laws.
12. File Ownership and Confidentiality
You retain full ownership of all files uploaded to Content Vault. We do not access, copy, share, or use your digital content for any commercial or non-commercial purpose. Files are only used for delivery to customers according to your subscription setup. Access is restricted to authorized personnel for troubleshooting or service improvement. We do not monitor or review the contents of your files unless required for support.
13. Third-Party Services and Limitations
Content Vault operates within the Shopify platform and may interact with other third-party services. We are not responsible for:
- Shopify outages or limitations
- API changes that affect app behavior
- Conflicts with other installed Shopify apps
Merchants are responsible for ensuring compatibility before publishing offers live.
14. Force Majeure
We are not liable for delays or failures due to events beyond our control, including server outages, Shopify disruptions, internet failures, regulatory changes, or natural disasters.
15. Dispute Resolution
In the event of a dispute, you agree to first contact us in good faith to resolve the issue. If no resolution is reached, disputes will be settled through binding arbitration in the State of Ohio, USA, under AAA rules. Each party bears its own legal costs unless otherwise required by law.
16. No Waiver
Failure to enforce any part of these Terms does not constitute a waiver of our rights. Any waiver must be in writing and signed by an authorized representative.
