1. Acceptance of terms

By installing or using Content Vault (the "App"), you ("Merchant") agree to be bound by these Terms of Service. These terms form a legal agreement between you and Content Vault LLC ("we," "us," or "our"). If you don't agree with any part of these terms, you must uninstall the App and discontinue use immediately. We reserve the right to modify these terms at any time, with notice provided via email or in-app notification. Continued use after updates indicates acceptance of the revised terms.

2. Service description

Content Vault is a Shopify app that lets merchants sell and manage subscriptions for digital products — PDFs, videos, images, audio files, and software. Merchants can choose between three subscription modes: Library Access (instant full-catalog unlock), Content Drip (scheduled releases over time), or Content Pass (download quota per billing period). The App automates digital delivery and manages download limits, access rules, and customer entitlements. Ultimate setup, configuration, and customer-facing accuracy remain the merchant's responsibility.

3. Disclaimer of warranties

Content Vault is provided "as is" and "as available." We make no guarantees regarding the availability, performance, or results of the App. Merchants are responsible for testing all features, ensuring compatibility with their store, and confirming proper delivery of digital products. We do not guarantee:

• Increased revenue, engagement, or subscription sales
• Compatibility with all third-party apps or Shopify themes
• Continuous uptime or bug-free performance

4. Sales and delivery responsibility

While Content Vault provides tools to manage digital subscriptions, merchants are fully responsible for:

• Ensuring subscription pricing and terms are accurate
• Uploading correct and legal digital content
• Verifying content access and delivery flows
• Managing customer communication, refunds, and support

We are not liable for failed file delivery, incorrect pricing, or customer dissatisfaction resulting from misconfiguration.

5. Limitation of liability

To the extent permitted by law, Content Vault LLC and its affiliates shall not be liable for any direct or indirect damages resulting from the use or inability to use the App, including but not limited to loss of revenue, customer issues, data loss, or reputational harm. In any case, our total liability shall not exceed the total fees you paid to us in the six (6) months prior to the event giving rise to the claim.

6. Indemnification

You agree to indemnify and hold harmless Content Vault LLC, its affiliates, and personnel from any claims, losses, damages, or expenses (including legal fees) arising from:

• Your use or misuse of the App
• Customer claims regarding failed deliveries or unauthorized charges
• Any violation of applicable laws or third-party rights

7. Subscription fees and billing

Merchants are charged according to the selected plan via the Shopify Billing API. Plan pricing and per-transaction fees are listed on the pricing page; all fees are in USD. If payment fails, access to the App may be suspended. Pricing and plans may change with prior notice. Free trials, when available, automatically convert to paid plans unless canceled before the trial ends. Refunds are granted at our sole discretion in cases of technical malfunction.

8. Termination and suspension

We reserve the right to suspend or terminate your access to the App for any violation of these Terms or misuse of the platform. Termination due to non-payment may occur without notice. Merchants are responsible for any outstanding balances at the time of termination. You can uninstall Content Vault from your Shopify admin at any time; once uninstalled, all your uploaded content is deleted within 24 hours. You can request a data export at any time before uninstalling.

9. User responsibilities

You are responsible for:

• Ensuring your digital products comply with all applicable laws, including copyright, consumer protection, and privacy regulations
• Uploading only content you have the right to distribute
• Accurately describing your subscription offerings
• Setting download limits and access rules that match your promises to customers
• Complying with Shopify's Acceptable Use Policy

Content Vault is not responsible for monitoring your store's legal compliance.

10. Intellectual property

All software, branding, code, and documentation related to Content Vault are the intellectual property of Content Vault LLC. You are granted a limited, revocable license to use the App solely for your Shopify store. Any unauthorized reproduction, redistribution, or reverse engineering is prohibited.

11. Data collection and privacy

We may collect data related to your store's usage of the App to improve performance, provide analytics, and support feature development. This includes data such as download counts, subscription plan usage, customer email addresses, and access logs. All data is handled in accordance with our Privacy Policy. You are responsible for informing your customers and obtaining any required consent under applicable privacy laws.

12. File ownership and confidentiality

You retain full ownership of all files uploaded to Content Vault. We do not access, copy, share, or use your digital content for any commercial or non-commercial purpose. Your files are used only for delivery to your subscribers according to the rules you configure. Access by our personnel is restricted to troubleshooting or service improvement, and only when you've explicitly asked us to look at a file. We do not train AI on your content or your customers' data.

13. Third-party services and limitations

Content Vault operates within the Shopify platform and may interact with other third-party services. We are not responsible for:

• Shopify outages or limitations
• API changes that affect app behavior
• Conflicts with other installed Shopify apps

Merchants are responsible for ensuring compatibility before publishing offers live.

14. Force majeure

We are not liable for delays or failures due to events beyond our control, including server outages, Shopify disruptions, internet failures, regulatory changes, or natural disasters.

15. Dispute resolution

In the event of a dispute, you agree to first contact us in good faith to resolve the issue. If no resolution is reached, disputes will be settled through binding arbitration in the State of Ohio, USA, under AAA rules. Each party bears its own legal costs unless otherwise required by law.

16. No waiver

Failure to enforce any part of these Terms does not constitute a waiver of our rights. Any waiver must be in writing and signed by an authorized representative.

2. Data collection

From merchants using the App

When you install and use the Content Vault app, we collect the following information from your Shopify store:

• Store URL and store owner contact details
• Uploaded digital files and file metadata (used solely for delivery to customers)
• Customer emails and subscription activity (for download tracking and access control)
• Plan usage, billing information, and app settings

From website visitors

When you interact with our marketing website at contentvaultapp.com, we collect:

• Contact form submissions — name, email, topic, and message you submit. A short-lived IP-based key is held briefly to rate-limit form abuse.
• Newsletter signups — email address plus the UTM source of the page you signed up from.
• Knowledge base feedback — yes/no helpfulness vote and any optional follow-up comment.
• Standard request data — browser user-agent, IP address, and country (derived via Cloudflare) for security and analytics.

3. Cookies

Cookies are small data files stored on your device to enhance your experience.

Types of cookies we use

• Strictly necessary cookies — CSRF tokens to protect form submissions; admin session tokens for authenticated EmDash dashboard access.
• Analytics cookies — Google Analytics 4 sets _ga and _ga_<id> cookies for anonymized session and pageview metrics, with IP anonymization enabled.

What we don't set

• Advertising network cookies
• Cross-site tracking pixels
• Browser fingerprinting

Managing cookies

You may disable cookies via your browser settings, although some site or app functionality may be limited.

4. Embedded content from other websites

Our website may include embedded content (e.g., videos, articles) that behaves as if you visited the source site. These external sites may collect data, use cookies, and track your interaction. We recommend reviewing their privacy policies.

We collect your data for the following purposes:

• To enable secure access and usage of the Content Vault app
• To deliver digital content to customers based on subscription access

6. Who we share your data with

We do not sell or trade your personal or customer data. However, data may be shared in limited cases:

• With Shopify, for billing and platform compliance
• With email and cloud storage providers to deliver app features
• With analytics and infrastructure providers (Google Analytics, Cloudflare) on our marketing site
• With Crisp when you initiate a chat conversation on the marketing site
• When legally required to comply with applicable regulations

7. File confidentiality

We understand the importance of protecting your uploaded content. All digital files you upload remain your property. We do not share, replicate, distribute, or use your uploaded files for any commercial or non-commercial purpose. Files are only accessed for technical support or app functionality, and only when you've explicitly asked us to look at a file. We do not train AI on your content or your customers' data.

8. How long we retain your data

• Uploaded files — stored as long as your store has active subscriptions or until you delete them.
• Customer data (e.g., downloads, access logs) — retained as long as required for subscription delivery.
• Newsletter subscribers — retained until you unsubscribe; unsubscribed records are kept for suppression-list purposes only.
• Contact form submissions — retained in our support system for as long as needed to support you.

9. Your data rights

You may request an exported file of your data or request deletion of data stored by us, excluding data required for legal, billing, or support obligations. Contact us at support@contentvaultapp.com for assistance.

10. Where your data is sent

We may process and store your data in jurisdictions outside your country. When doing so, we use appropriate safeguards such as encryption, secure data centers, and standard contractual clauses to ensure your data remains protected.

11. Data security

We use secure encryption, access controls, and monitoring tools to protect your data. However, no online system is 100% secure. In the event of a breach, we will notify affected users within 72 hours as required by law.

12. Legal basis for data processing

We process data based on:

• Consent (e.g., opt-in for communications or cookies)
• Contract (to deliver the app's services)
• Legitimate interest (e.g., improving app functionality)
• Legal obligation (e.g., billing, tax compliance)

13. Data breach response

In the event of a breach:

What are cookies?

Cookies are small text files stored by your browser. They let websites remember things — like whether you're signed in, or that an analytics session is in progress.

What we use

Content Vault sets cookies in two categories:

Strictly necessary

• CSRF tokens — protect form submissions from cross-site request forgery
• Admin session tokens — keep you signed in to the EmDash admin dashboard

Analytics

• Google Analytics 4 sets _ga and _ga_<id> cookies for anonymized session and pageview metrics. IP anonymization is enabled, so we don't see full visitor IPs.
• Cloudflare Web Analytics runs server-side and does not set client-side cookies.

What we don't set

• Advertising network cookies
• Cross-site tracking pixels
• Browser fingerprinting
• Facebook Pixel or similar social-platform pixels

Your control

You can clear cookies anytime through your browser settings. Doing so will sign you out of the admin and reset GA's anonymous session ID. The site will continue to work normally.

Updates

If we ever add a non-essential cookie beyond what's listed above (for example, a new product-analytics tool), we'll show a clear consent prompt before setting it.
